Terms of Service

These Terms of Service form a binding contract between you (the "Customer") and {COMPANY_NAME} (trading as TrivoCloud). By ordering, paying for or using any TrivoCloud service, you agree to these terms.

1. The service

TrivoCloud provides virtual private servers built on KVM virtualization, together with associated features such as snapshots, DDoS-filtered transit, IPv4 and IPv6 addressing and a web-based control panel. The exact specification of the service you purchased is the one shown on the invoice at the time of purchase.

2. Your account

You must provide accurate registration information and keep your credentials confidential. You are responsible for all activity performed with your account, including by anyone you grant access to.

You may only open an account if you are at least 18 years old or the legal age of majority in your country, and if applicable sanctions law permits us to supply you.

3. Pricing, billing and taxes

Prices are as shown on the pricing page at the time you place your order and are exclusive of value added tax (VAT). VAT is added at the applicable rate for consumers in the European Union. Business customers with a validated EU VAT identification number outside our country of registration are invoiced at 0% under the reverse-charge rule (Article 196 of Council Directive 2006/112/EC).

Monthly plans renew automatically on the same day of each calendar month. Yearly plans renew on the same day of the following year. You can cancel renewal at any time from the control panel.

Failed payments are retried for up to 7 days. If payment remains unresolved after that period the service may be suspended and, after a further 14 days, terminated with data deletion as described in the Refund Policy.

4. Optional tip at checkout

The tip field at checkout is entirely optional. Any amount you enter is a gratuity to our engineering team, is not part of the service price, is not subject to renewal and is non-refundable.

5. Acceptable use

You agree to comply with our Acceptable Use Policy at all times. Serious or repeated breaches, including any use of the service for illegal content, phishing, unsolicited email or attacks against third parties, may lead to immediate suspension.

6. Availability and SLA

We commit to 99.9% network availability per calendar month for each region, as measured in our Service Level Agreement. Where we fall short of the SLA and you claim a credit in accordance with the SLA process, the credit is issued to your account balance and is your sole and exclusive remedy for the affected downtime.

7. Your data

You retain all ownership of any data you upload to or generate on the service. You are responsible for maintaining backups of that data. Snapshots we provide are a convenience, not a substitute for your own backup strategy.

On termination we delete customer data as described in the Refund Policy.

8. Liability

Nothing in these terms excludes liability that cannot be excluded by law, including liability for death or personal injury caused by negligence, or for fraud.

Subject to the above, our aggregate liability arising out of or in connection with the service in any 12-month period is limited to the fees you actually paid to us for the service in that period. We are not liable for indirect, consequential, incidental or special damages, or for loss of profits, revenue, goodwill or data.

9. Termination

Either party may terminate the contract for convenience by cancelling the service in the control panel. We may terminate the contract for cause with immediate effect if you materially breach these terms, become insolvent, or use the service in a way that harms our infrastructure or third parties.

10. Governing law and jurisdiction

This contract is governed by the laws of {COUNTRY_OF_REGISTRATION}, excluding its conflict-of-laws rules and the UN Convention on Contracts for the International Sale of Goods.

The courts of {COUNTRY_OF_REGISTRATION} have exclusive jurisdiction. Consumers may also bring proceedings in the courts of their country of residence where mandatory law so permits.

11. Changes to these terms

We may update these terms from time to time. Material changes will be announced at least 30 days in advance by email. Continued use of the service after the effective date constitutes acceptance of the revised terms.
